These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", or "you") and GreenMotive ("Company", "we", "our", or "us"), governing your access to and use of our website at greenmotive.in and all associated services, platforms, and applications.

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

GreenMotive provides technology-driven waste management and fleet solutions. Our services include, but are not limited to:

Access to these services is subject to execution of a formal service agreement. These Terms apply alongside any such agreement.

Certain features of our platform require account registration. By creating an account, you agree to:

• Provide accurate, complete, and current information during registration
• Maintain the security of your credentials and not share passwords with unauthorized persons
• Notify us immediately at info.motivegreentech@gmail.com if you suspect unauthorized access
• Accept responsibility for all activity that occurs under your account
• Not create accounts for any automated or non-human entity without prior written consent

We reserve the right to suspend or terminate accounts that violate these Terms or are involved in fraudulent activity.

You agree not to engage in any of the following activities when using our services:

• Violating any applicable local, state, national, or international law or regulation
• Attempting to gain unauthorized access to our systems, networks, or other users' accounts
• Transmitting malware, viruses, or any destructive code through our platform
• Scraping, crawling, or data-mining our platform without written authorization
• Misrepresenting your identity, affiliation, or authority to act on behalf of any organization
• Using our services to harass, abuse, or harm any individual or group
• Reverse-engineering, decompiling, or disassembling any software component of our platform
• Circumventing any access controls, security mechanisms, or usage restrictions

All content, software, technology, designs, trademarks, logos, and materials on our platform are the exclusive property of GreenMotive or our licensors, protected under applicable Indian and international intellectual property laws.

• You are granted a limited, non-exclusive, non-transferable licence to access and use our platform for its intended purpose
• You may not copy, reproduce, distribute, or create derivative works without our express written permission
• Any feedback or suggestions you provide may be used by us freely without compensation or attribution

Fees for GreenMotive services are governed by the specific service agreement executed between us and the client. General terms include:

• All fees are quoted in Indian Rupees (INR) and are exclusive of applicable GST
• Invoices are payable within 30 days of issuance unless otherwise agreed in writing
• Late payments may attract interest at 1.5% per month on the outstanding balance
• We reserve the right to suspend services for accounts with overdue payments beyond 45 days
• Refunds, if applicable, are processed within 14 working days as per the agreed contract terms

We aim to provide continuous, high-availability access to our services. However:

• Planned maintenance windows will be communicated at least 48 hours in advance
• We target 99.5% monthly uptime for our core fleet and waste management platforms
• Emergency maintenance may occur with minimal notice to protect platform security and integrity
• Downtime caused by force majeure events (floods, power outages, government directives) is excluded from SLA calculations

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, GreenMotive disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Accuracy, completeness, or reliability of any information provided through our platform
• Uninterrupted, error-free, or virus-free operation of our platform
• Results obtained from the use of our services meeting any specific operational targets

To the maximum extent permitted by applicable Indian law, GreenMotive and its directors, employees, agents, and partners shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from unauthorized access to or alteration of your data
• Any loss arising from third-party actions, natural events, or infrastructure failures beyond our control

You agree to defend, indemnify, and hold harmless GreenMotive and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to:

• Your violation of these Terms or any applicable law
• Your misuse of our platform or services
• Any content you submit, transmit, or make available through our services
• Infringement of any third-party rights, including intellectual property rights

Either party may terminate these Terms under the following circumstances:

• By You: You may stop using our services at any time. Termination of service contracts is subject to notice periods specified in your individual agreement
• By Us (with notice): We may terminate or suspend your access with 30 days' written notice for any reason
• By Us (immediately): We may suspend or terminate your access immediately for material breach of these Terms, fraud, or illegal activity

Upon termination, all licences granted to you are immediately revoked. Sections on Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law survive termination.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

• Any disputes shall first be attempted to be resolved amicably through good-faith negotiation within 30 days of written notice
• If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India)
• The seat of arbitration shall be Kolkata, West Bengal
• Courts at Hooghly, West Bengal shall have exclusive jurisdiction for any non-arbitrable matters

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date above and notify active users via email or a prominent notice on our website.
